VITAL ASSETS
Our Board is comprised of nine of the most successful,
influential and recognizable members of the Midtown community.
Their backgrounds combine relevant banking, real estate and business
experience with proven successful leadership.
James R. Borders
Mr. Borders is CEO of Novare Group Holdings, LLC, a real estate development firm based in Midtown Atlanta with operations in Atlanta, Georgia; Austin, Texas; Charlotte, North Carolina; Nashville, Tennessee; and Tampa, Florida. Prior to 1990, Mr. Borders was an attorney with King & Spalding, focusing on secured lending and loan workouts in the Financial Services Group. Mr. Borders is a graduate of the Georgia Institute of Technology with a Bachelor of Mechanical Engineering and the University of Georgia with a JD/MBA. He serves on the boards of Central Atlanta Progress, Midtown Alliance, Buckhead Coalition, Georgia Trust for Historic Preservation, and Trust for Public Land.

Gary Byrd
Gary Byrd is President and Chief Executive Officer of Pratt Financial Services, a private equity firm specializing in the financial services arena, with a particular focus in community banking, commercial finance, and consumer finance companies. An affiliate of Pratt IIndustries, the largest private packaging company in the world, Pratt Financial has invested iin 17 portfolio companies, including denovo and established regional banks. Prior to founding Pratt Financial, Mr. Byrd was the President and CEO of Pratt Industries, and was the primary architect in growing the U.S. company from $100 million in revenues when he joined Pratt in 1988 to over $700 million today. He remains Chairman of the Global Finance Committee, at Pratt Industries, responsible for major financial decisions facing the worldwide company
Mr. Byrd has been extensively involved with complex financial transactions throughout his career, both with the Pratt Group and as an investment banker with Security Pacific Bank. Mr. Byrd started his career with Security Pacific Bank in 1975. During his 14 years at the bank, he held a variety of increasingly responsible positions, including Senior Vice President and Chairman of the Senior Loan Committee with an individual credit liimit of $100 million, as well as Managing Director and Head of the Leveraged Buyout Group. He also founded and headed the Mergers and Acquisitions Group at Security Pacific.
Mr. Byrd received a B.A. in Finance from the College of William and Mary and an M.B.A. from the University of California at Los Angeles. He currently serves on the boards of Midtown Bank and Trust; Magnet Bank; Signature Bank; and Republic Bank (in organization). Mr. Byrd lives in Atlanta, Georgia with his wife Aileen and three children.

Joseph D. Chipman, Jr.
Mr. Chipman served as Chief Executive Officer and as a founding director on the board of Lanier National Bank, Gainesville from 1988 until 2000, when Lanier National Bank was acquired by Century South/BB&T. Mr. Chipman retired in April 2002, and purchased a second home in Midtown Atlanta. Mr. Chipman was a senior executive at the Citizens Bank of Gainesville from 1975 until 1988. Prior to that, he also served as a bank examiner with the Georgia Department of Banking and Finance for four years. Mr. Chipman attended Gainesville College and graduated from West Georgia College with a degree in Economics and Business Administration and served in the U.S. Army. Mr. Chipman remains active in the Gainesville banking community.

Eric W. Hartz
Mr. Hartz is President, CEO and Director of RentBureau, LLC; an objective, third party, centralized data repository of nationwide rental payment history used to better evaluate rental applicants, build tenants' credit histories and improve data acquirers scoring tools and other services. He is also a Director at LAVA Group, LLC; a firm helping companies leverage patents and other intellectual assets. Mr. Hartz was a founding member, Presdent and Director of Security First Network Bank, the world's first internet bank, which became S1 Corporation (Nasdaq symbol: SONE). He also served as CEO and Director of ZapMedia; a digital entertainment company. Prior, Mr. Hartz was with McKinsey & Company in Atlanta, Georgia; Washington DC; and Paris, France. He also serves on CEO High Tech Council Board, Young CEO Roundtable, and as an adjunct at Emory University's Goizueta Business School. He holds an MBA with distinction from Wharton Business School, and degrees in economics and chemistry with honors form the University of Pennsylvania.

D. Kimbrough King, Jr.
Mr. King is President of Kim King Associates,
LLC, a 35 year old real estate development company located in Midtown Atlanta. Kim King Associates develops
retail, office, residential, and mixed use properties, primarily
in the metropolitan Atlanta area. Prior to joining Kim King Associates in 1999, Mr. King was a Vice President at B & I
Lending, LLC, a small business lender which specialized
in government guaranteed lending, primarily through the
USDA and SBA. Mr. King worked with various community
banks across the southeast to originate and underwrite loans in a variety
of industries and markets.
Mr. King graduated from Washington and Lee University
with a BA in Economics. Mr. King serves on the Board of Midtown Alliance and lives in Midtown Atlanta.

R. Stan Kryder
Mr. Kryder is President, CEO and a Director of Midtown Bank & Trust Company. He is responsible for all aspects of the bank's operations and growth plans. Mr. Kryder has over 27 years of experience in commercial banking. He began his career in Atlanta, Georgia in 1979 with the C&S National Bank and has held increasingly senior executive responsibilities with the following companies: Bank of America, Wachovia Corporation and AmSouth Bancorporation.
Mr. Kryder has served as Executive Vice President of General Banking for the state of Georgia for First Union, now Wachovia Corporation, as well as serving as a Director of their Georgia Bank and a member of their Corporate Management Committee. He has also led large merger integration teams and strategic initiatives throughout the East Coast. He has led a 200 new branch initiative in Florida and managed large business units covering multiple states and lines of business. Mr. Kryder also serves as an outside Director for two Atlanta based corporations in the Financial Services sector.

Jeffrey W. Lunsford
Mr. Lunsford is Chairman and CEO of WebSideStory, Inc.
(NASDAQ: WSSI), a global leader iin business optimization solutions. Mr. Lunsford was previously the CEO
of TogetherSoft Corporation which was purchased by Borland Software Corporation
in 2003. Mr. Lunsford's banking experience includes: being co-founder and President of Brintech, Inc., a financial services technology consulting firm that worked with over 150 community banks across the United States; being a founding investor in Lydian Trust Company of Palm Beach, Florida, a rapidly growing and profitable diversified financial services firm; and being the Senior Vice President of Corporate Development for S1 Corporation, an innovative provider of electronic banking systems to banks around the globe. Mr. Lunsford graduated summa cum laude from
the Georgia Institute of Technology’s College
of Information and Computer Sciences. Mr. Lunsford served in the U.S. Navy, primarily as a Naval Aviator flying the F/A-18C, from 1988 to 1994.

F. Blair Schmidt-Fellner
Mr. Schmidt-Fellner is a graduate of the University of
Virginia with a B.S. degree and an MBA. Mr. Schmidt-Fellner
was the co-founder and Chief Financial Officer of Act
III Broadcasting, Inc. From 1988 until 1994, he worked
with Turner Broadcasting, Inc. in various capacities
including serving as Executive Vice President of Sports
South Network, chairman of Hawks Arena and director
of business development. Mr. Schmidt-Fellner was founder
and President of both Webbed Feet, Inc., and Cygnus
Business Media. Mr. Schmidt-Fellner is currently President
of Endurance Business Media, publisher of Homes and
Land Magazine. Mr. Schmidt-Fellner is also senior advisor
on a pro bono basis for the MicroVest project of CARE,
which is involved in financing development around the
world. He is a member of the Board of Directors of
the Boys and Girls Clubs of Metro Atlanta.

Christian B. Schoen
Mr. Schoen has been the President of Barry Real Estate
Companies, Inc. of Atlanta since 1995. Barry Real Estate
Companies is a full-service real estate development
firm specializing in commercial office development
with a primary emphasis in the south and southeastern
United States. Barry Real Estate, which was founded
in 1995 by Mr. Schoen and Hal Barry, has developed
almost three million square feet in cities such as
Atlanta, Dallas, Charlotte, and Birmingham. Additionally,
Mr. Schoen is the managing partner of Urban Expositions & Development
where he is instrumental in the creation and development
of a multi-faceted trade show management organization.
Mr. Schoen is a graduate of Harvard Business School
Executive MBA Program and Auburn University. He is
active in the Atlanta Community and serves on the boards
of Lovett School, Atlanta Youth Academy, Buckhead Baseball,
and is a member of the High Museum of Art Real Estate
Committee.
